Terms of Use
The terms governing use of this website.
These Terms of Use (the “Terms”) govern your access to and use of the website operated by Carve Creation Corporation (“Carve Creation,” “we,” “us,” or “our”), including www.carvecreation.com, its project inquiry forms, publicly available content, and related online features (collectively, the “Website”).
By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.
1. Website Purpose
The Website provides general information about Carve Creation, our project-based manufacturing capabilities, the markets we serve, and our approach to project coordination and delivery. It also allows prospective clients and project partners to contact us and submit information for preliminary review.
Website content is provided for general informational purposes. It is not a proposal, quotation, professional opinion, technical specification, warranty, or commitment to perform services.
2. Project Inquiries and Uploaded Materials
You may submit contact information, project descriptions, drawings, schedules, specifications, images, quantities, reference files, file-sharing links, and other materials through the Website.
By submitting materials, you represent that:
- You are authorized to provide them to Carve Creation.
- Their submission and our review will not violate another party’s rights or any contractual restriction.
- The information is reasonably accurate to the best of your knowledge.
- The files do not knowingly contain malicious code or unlawful material.
You retain ownership of the materials you submit. You grant Carve Creation a limited right to access, copy, store, evaluate, and internally share those materials as reasonably necessary to review your inquiry, communicate with you, prepare potential scope or pricing information, and provide requested services.
Submitting an inquiry does not obligate Carve Creation to accept a project, issue a quotation, reserve production capacity, or enter into an agreement.
3. Confidential and Sensitive Project Information
We understand that project materials may contain commercially sensitive information. We use reasonable administrative and technical measures to protect submitted information; however, no internet transmission or online storage system can be guaranteed to be completely secure.
If your materials require an executed nondisclosure agreement, restricted access, a specific transfer method, or other special handling, contact us before uploading them through the Website.
Do not submit personal information unrelated to the project, regulated data, export-controlled information, classified information, payment-card information, government identification numbers, health information, or other highly sensitive data unless Carve Creation has expressly agreed in writing to receive it through an approved method.
Any confidentiality obligations applicable to an active project will be governed by the relevant nondisclosure agreement, proposal, purchase order, manufacturing agreement, or other written contract—not by these Website Terms alone.
4. Estimates, Proposals, and Project Agreements
Any preliminary pricing, schedule indication, capability statement, or response provided following a Website inquiry is for discussion and evaluation unless expressly identified as a binding offer.
A project begins only after the parties enter into an applicable written agreement or Carve Creation accepts an authorized purchase order. That agreement may address scope, price, payment, design responsibility, samples, approvals, change management, schedule, quality standards, testing, delivery, installation, warranty, intellectual property, confidentiality, and other project-specific terms.
If these Terms conflict with a signed project agreement, the signed project agreement controls for that project.
5. Design and Professional Responsibility
Carve Creation’s primary role is to translate approved design intent and project requirements into manufacturable physical products and coordinated packages. Design development, engineering, code review, permitting, testing, installation, or other professional services are provided only when expressly included in a written project scope.
Unless otherwise agreed in writing, the project owner and its appointed architects, designers, engineers, consultants, contractors, and authorities having jurisdiction remain responsible for approving the design, specifications, code criteria, site conditions, and intended use of the finished work.
6. Intellectual Property
The Website and its content—including text, graphics, logos, photographs, illustrations, videos, layouts, software, and design elements—are owned by Carve Creation or used with permission and are protected by applicable intellectual-property laws.
You may view and download Website content for legitimate internal evaluation of Carve Creation’s capabilities. You may not reproduce, republish, distribute, modify, sell, scrape, train a commercial model on, or commercially exploit Website content without prior written permission, except as permitted by law.
Carve Creation, Carve Flex™, associated logos, and other brand identifiers are trademarks or service marks of Carve Creation. No license to use them is granted by your access to the Website.
7. Illustrative Content and Project Examples
Renderings, diagrams, sample projects, representative scenarios, product configurations, and process illustrations may be included to explain possible applications or formats. When content is identified as illustrative, conceptual, representative, or a sample, it should not be interpreted as documentation of a completed project or as a promise that the same result, price, specification, or schedule will apply to another project.
Actual project outcomes depend on approved scope, design information, quantities, materials, technical requirements, site conditions, schedule, logistics, and other project-specific factors.
8. Acceptable Use
You agree not to:
- Use the Website for unlawful, fraudulent, or harmful activity.
- Attempt to gain unauthorized access to the Website, portal, accounts, servers, or data.
- Interfere with the Website’s operation or security.
- Upload malicious software or files designed to disrupt or damage systems.
- Misrepresent your identity, authority, organization, or project.
- Collect information from the Website through unauthorized automated means.
- Use Website content in a manner that infringes intellectual-property, privacy, confidentiality, or other rights.
We may restrict or terminate access when we reasonably believe the Website is being misused.
9. Project Portal
Access to any Carve Creation project portal may require separate authorization and may be subject to additional project or account terms. You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account.
Notify Carve Creation promptly if you believe portal credentials or project information have been accessed without authorization.
Portal records are intended to support project communication and coordination. The controlling contractual documents remain the executed agreements, approved change documents, and other records identified in the applicable project contract.
10. Third-Party Websites and Services
The Website may link to third-party websites, file-sharing platforms, social networks, publications, or other services. Carve Creation does not control and is not responsible for their content, availability, security, or privacy practices. A link does not necessarily constitute endorsement.
Your use of a third-party service is governed by that provider’s terms and policies.
11. Website Availability and Accuracy
We work to keep Website information useful and current, but we do not guarantee that all content will always be complete, accurate, available, secure, or free from errors. Capabilities, materials, processes, schedules, service areas, and other information may change.
We may update, suspend, or discontinue any part of the Website without notice.
12. Disclaimer of Warranties
To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
Nothing in this section limits warranties expressly provided under a separate written project agreement.
13. Limitation of Liability
To the fullest extent permitted by law, Carve Creation and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Website.
Carve Creation’s aggregate liability arising solely from use of the Website will not exceed the amount, if any, you paid directly to Carve Creation specifically for access to the Website during the twelve months preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law and do not replace the liability provisions of an applicable written project agreement.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Carve Creation and its officers, employees, and affiliates from claims, losses, or expenses arising from your unlawful use of the Website, your violation of these Terms, or materials you submit without the necessary authorization or rights.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising solely from these Terms or use of the Website will be brought in the state or federal courts located in Los Angeles County, California.
Project-specific disputes remain governed by the dispute-resolution and governing-law provisions of the applicable written project agreement.
16. Changes to These Terms
We may update these Terms periodically. The revised version will be posted on this page with a new effective date. Your continued use of the Website after an update constitutes acceptance of the revised Terms.
